1. Introduction and Acceptance
Welcome to climalock.com (the “Site”), operated by ClimaLock (“ClimaLock,” “we,” “our,” or “us”). ClimaLock designs and manufactures insulation panels and installs tank insulating systems for industrial and commercial applications.
These Terms of Use (“Terms”) form a binding agreement between you and ClimaLock governing your access to and use of the Site. By visiting, browsing, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. In the event of a conflict between these Terms and a signed agreement covering the sale of products or installation services, that signed agreement will control with respect to its subject matter.

By using the Site, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms. Subject to your compliance with these Terms, ClimaLock grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and view the Site for your own internal, informational, and non-commercial purposes. You may print or download one copy of a reasonable number of pages for your own reference, provided you do not remove any proprietary notices.

While we strive for accuracy, we do not warrant that product descriptions, technical data, dimensions, thermal or performance ratings, illustrations, or other Content are accurate, complete, current, or error-free, and such information may vary from actual products.
Nothing on the Site constitutes engineering, technical, safety, or other professional advice, or a representation that a product is suitable for your specific application. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIMALOCK AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES–INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION–ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR ANY CONTENT, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE EXCEED ONE HUNDRED U.S. DOLLARS ($100.00). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

We may revise these Terms from time to time in our sole discretion. When we make changes, we will update the “Last Updated” date above. Your continued use of the Site after revised Terms are posted constitutes acceptance of those changes. We encourage you to review these Terms periodically.
14. Termination
We may, in our sole discretion and without notice or liability, restrict, suspend, or terminate your access to all or any portion of the Site at any time and for any reason, including for suspected violations of these Terms. Provisions that by their nature should survive termination–including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law–shall survive.
15. Governing Law and Jurisdiction
These Terms, and any dispute arising out of or relating to them or the Site, shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict-of-law principles. You agree that any legal action or proceeding shall be brought exclusively in the courts located in Benton Count, Missouri, and you consent to the personal jurisdiction and venue of such courts.
16. Severability and Waiver
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable. Our failure to enforce any provision does not waive our right to do so later.
17. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms applicable to specific features of the Site, constitute the entire agreement between you and ClimaLock regarding your use of the Site and supersede all prior communications and understandings on that subject.
